Terms of Service

Agreement to terms

These Terms of Service ("Terms") govern your access to and use of Voiage, including our websites, lodge profile tools, owner portal, maps, directories, communications, data, content, and related services (collectively, the "Service"). By accessing or using the Service, creating an account, submitting lodge information, clicking to accept, or continuing to use the Service after an update, you agree to these Terms and our Privacy Policy.

"Voiage," "we," "us," and "our" refer to the operator of the Service. "You" means any visitor, lodge owner, administrator, organization, employee, contractor, agent, or other person using the Service. If you use the Service for a business or organization, you represent that you have authority to bind that organization, and "you" includes that organization.

Eligibility and authority

You must be at least 16 years old, or older where required by law, and legally able to enter into a binding agreement. If you create, claim, administer, or edit a lodge profile, you represent that you are authorized to act for that lodge or organization and that all information you provide is accurate, lawful, and non-misleading.

The service

Voiage is a discovery atlas and software platform for finding, evaluating, and contacting fishing lodges. We are not a travel agent, booking agent, broker, fiduciary, insurer, payment processor for travel arrangements, outfitter, guide, transportation provider, or party to any booking or transaction between users and lodges. All reservations, deposits, payments, cancellations, waivers, licenses, permits, travel documents, insurance, health, safety, and trip arrangements are solely between you and the applicable lodge or third party.

Listings, maps, tags, rankings, search results, descriptions, availability signals, media, prices, seasons, species, amenities, and other content are informational only. They may be incomplete, estimated, outdated, generated, third-party supplied, or subject to change. You must independently verify all material details before relying on them, contacting a lodge, or making travel plans.

Accounts, enterprise use, and administrators

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must promptly notify us of any unauthorized access or security incident involving your account.

If an account is associated with a company, lodge, agency, team, or other organization, administrators and authorized users may access, submit, edit, export, or manage information associated with that organization. The organization is responsible for its users' acts and omissions, for configuring access appropriately, and for ensuring that submitted content and use of the Service comply with these Terms and applicable law.

We may suspend, restrict, or terminate access, remove content, disable features, or require verification at any time if we believe use is unauthorized, risky, fraudulent, unlawful, violates these Terms, harms the Service, or may create liability for us or others.

Lodge content and license

You retain any rights you have in lodge information, photos, logos, descriptions, offers, messages, and other content you submit ("User Content"). You grant Voiage a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify, format, translate, analyze, display, distribute, publish, create derivative works from, and otherwise use User Content to operate, market, protect, and improve the Service and related Voiage products.

You represent that you have all rights, permissions, consents, releases, and licenses required for your User Content, including rights for images, names, likenesses, trademarks, locations, pricing, offers, and third-party materials. We may review, edit, refuse, remove, or reclassify User Content at our discretion, but we are not obligated to monitor it.

Public and third-party content

The Service may include public-source information, third-party links, embedded media, map providers, analytics providers, payment processors, communication providers, lodge websites, aggregator materials, and other third-party content. We do not control and are not responsible for third-party content, availability, accuracy, policies, security, or practices. Your dealings with third parties are solely between you and them.

Content, copyright, and restrictions on use

All content on or available through the Service — including lodge profiles and listings, photographs, images, illustrations, graphics, logos, icons, designs, page layouts, look-and-feel, text, descriptions, headings, articles, guides, and blog posts, maps, tags, taxonomies, search logic, rankings, compilations, databases, datasets, downloadable files, and the selection, coordination, and arrangement of all of the foregoing (collectively, "Voiage Content") — is owned by or licensed to Voiage and protected by United States and international copyright, database, trade-dress, trademark, and other intellectual-property laws, as well as by these Terms.

Except for the limited access license stated above and any content you submit as User Content, you may not, without our prior written permission: copy, download, reproduce, republish, upload, post, display, distribute, syndicate, broadcast, perform, transmit, sell, license, rent, lease, lend, translate, adapt, modify, or create derivative works of any Voiage Content; scrape, harvest, crawl, spider, data-mine, parse, extract, cache, store, mirror, frame, hotlink, or systematically retrieve any part of the Service or Voiage Content; use any robot, bot, spider, scraper, script, API client, headless browser, automated tool, or manual process to access, monitor, copy, or collect Service data or content; or use Voiage Content to develop, train, fine-tune, validate, benchmark, enrich, embed, or improve any artificial-intelligence or machine-learning model, dataset, search engine, directory, marketplace, or competing product.

Lodge owners retain rights in their User Content and grant Voiage the license described above. That license does not give any third party — including competitors, data brokers, aggregators, AI developers, or researchers — any right to access, copy, scrape, or republish lodge listings, photos, descriptions, or other content from the Service. Where User Content displayed on the Service is owned by a lodge or its licensors, Voiage acts as a hosting and display platform; nothing in these Terms or in any listing grants you a license to copy or reuse that content.

  • Search-engine and AI-crawler access is permitted only to the crawlers we expressly allow in our robots.txt and technical controls. We block other automated access and reserve the right to block, rate-limit, ban, or take technical measures against any automated client at our discretion.
  • You may not remove, alter, or obscure any copyright, trademark, attribution, watermark, or proprietary notice on or in the Service or any Voiage Content.
  • We reserve all rights and remedies against unauthorized use, including technical blocking, takedown and account-termination demands, and claims for damages, injunctive relief, and reasonable attorneys' fees. These restrictions survive any termination of your access.

Subscriptions, paid features, and taxes

If we offer paid plans or premium features, fees, billing intervals, included features, usage limits, taxes, trial terms, renewal terms, and cancellation terms are shown at purchase or in the applicable order flow. Unless stated otherwise, subscriptions renew automatically until canceled. You authorize us and our payment providers to charge applicable fees and taxes using your selected payment method.

Fees are non-refundable except where required by law or expressly stated in writing. We may change prices or plan features prospectively by providing notice as required by law. You are responsible for all taxes, duties, and governmental charges other than taxes on our income.

Acceptable use

You agree not to, and not to authorize or assist anyone else to:

  • Scrape, harvest, crawl, copy, cache, frame, mirror, or systematically extract Service data or content without written permission.
  • Use the Service or its content to build, train, benchmark, enrich, or improve a competing product, directory, model, dataset, search tool, or marketplace.
  • Reverse engineer, decompile, disassemble, probe, scan, or test the vulnerability of the Service except as permitted by a written security program.
  • Bypass access controls, rate limits, robots instructions, authentication, authorization, payment controls, or technical restrictions.
  • Upload malware, harmful code, unlawful content, infringing content, deceptive content, or content that violates privacy, publicity, or intellectual-property rights.
  • Misrepresent affiliation, impersonate another person, submit false lodge claims, manipulate listings, or interfere with review, moderation, or ranking systems.
  • Use the Service for spam, unsolicited marketing, harassment, discrimination, surveillance, illegal travel activity, sanctions violations, or any unlawful purpose.
  • Use the Service in a way that could damage, disable, overload, impair, or compromise the Service, our infrastructure, other users, lodges, or third parties.

No professional advice or travel warranty

The Service does not provide legal, tax, insurance, medical, safety, financial, outfitting, guiding, conservation, or travel advice. Outdoor travel and fishing involve inherent risks, including weather, water, wildlife, remoteness, transportation, health, equipment, regulatory, and local-condition risks. You are solely responsible for assessing risks, obtaining insurance, confirming licenses and permits, and deciding whether a lodge, trip, or activity is appropriate.

AI, automation, and experimental features

The Service may use automated systems, data science, machine learning, or artificial intelligence to classify lodges, summarize information, route inquiries, rank results, generate recommendations, detect abuse, or improve features. Outputs may be incomplete or incorrect and should not be relied on without independent verification. Beta, preview, experimental, or free features may be changed, suspended, or discontinued at any time and may be subject to additional terms.

Intellectual property and feedback

The Service, including its software, design, interface, brand, trademarks, logos, workflows, taxonomies, databases, compiled lodge profiles, maps, tags, search logic, and content selection and arrangement, is owned by or licensed to us and protected by intellectual-property and other laws. Except as expressly allowed by these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for its intended purpose.

If you provide feedback, ideas, suggestions, or requests, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation.

Confidentiality and security

Non-public product, technical, pricing, roadmap, account, security, and business information disclosed through the Service may be confidential. You may use confidential information only to use the Service as permitted and must protect it with reasonable care.

We use reasonable safeguards designed to protect the Service, but no system is perfectly secure. You are responsible for using strong credentials, limiting account access, maintaining your own backups of submitted content, and notifying us promptly about suspected security issues.

Privacy and data processing

Our Privacy Policy explains how we collect, use, disclose, and protect information. If you provide personal information about other people, including employees, guests, owners, guides, or customers, you represent that you have provided all required notices and obtained all required rights and consents. To the extent we process personal information on behalf of an enterprise customer under a written order, any separately executed data processing agreement controls for that processing.

Export, sanctions, and compliance

You must comply with all applicable laws and regulations, including export controls, sanctions, anti-corruption laws, consumer protection laws, marketing laws, privacy laws, accessibility obligations, and travel-related regulations. You may not use the Service if you are barred by applicable law or are located in, organized under the laws of, or ordinarily resident in a sanctioned jurisdiction, or if you are on a restricted-party list.

Disclaimers

THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, CURRENT, COMPLETE, COMPATIBLE WITH YOUR SYSTEMS, OR THAT ANY LODGE, TRIP, OFFER, CONTACT, RESULT, MAP, TAG, OR CONTENT WILL MEET YOUR NEEDS. YOU USE THE SERVICE AND RELY ON CONTENT AT YOUR OWN RISK.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VOIAGE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, ENHANCED, OR LOST-PROFIT DAMAGES; LOSS OF REVENUE, DATA, GOODWILL, BUSINESS, OPPORTUNITY, SAVINGS, OR TRAVEL; BUSINESS INTERRUPTION; SUBSTITUTE SERVICES; PERSONAL INJURY; PROPERTY DAMAGE; OR CLAIMS ARISING FROM LODGES, TRAVEL, THIRD PARTIES, OR USER CONTENT, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO US FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THE LIMITATIONS APPLY TO ALL THEORIES OF LIABILITY, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, WARRANTY, STATUTE, AND EQUITY, EXCEPT TO THE EXTENT PROHIBITED BY LAW.

Indemnification

You will defend, indemnify, and hold harmless Voiage and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against all claims, demands, actions, losses, liabilities, damages, penalties, settlements, costs, and expenses, including reasonable attorneys' fees, arising from or related to your use of the Service, User Content, account activity, lodge claim, transaction with a lodge, violation of these Terms, violation of law, or infringement or misappropriation of any rights. We may control the defense of any matter at your expense, and you may not settle a claim that imposes obligations on us without our written consent.

Dispute resolution and arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS, INCLUDING YOUR RIGHT TO GO TO COURT, HAVE A JURY TRIAL, OR PARTICIPATE IN A CLASS ACTION.

Before filing a claim, you and we will try to resolve disputes informally. The party raising a dispute must send written notice describing the dispute and requested relief, and the parties will allow at least thirty (30) days for good-faith resolution.

Except for small-claims matters and claims seeking injunctive or equitable relief for intellectual-property, security, or unauthorized-access issues, any dispute arising out of or related to the Service, these Terms, or our relationship will be resolved by final and binding arbitration administered by the American Arbitration Association under its commercial arbitration rules. The arbitrator has exclusive authority to resolve disputes about arbitrability, except that a court may decide issues concerning the class-action waiver.

You and we agree that each party may bring claims only on an individual basis and not as a plaintiff, class member, or representative in any class, collective, consolidated, private attorney-general, or representative proceeding. The arbitrator may not consolidate claims except by written agreement of all parties.

You may opt out of arbitration by sending written notice to our contact address within thirty (30) days after first accepting these Terms. If a claim proceeds in court, you and we waive any right to a jury trial and consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware, except where prohibited by law.

Governing law

These Terms and any dispute are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules, except where mandatory law provides otherwise.

Changes to the service or terms

We may modify, suspend, or discontinue any part of the Service at any time. We may update these Terms by posting a revised version with an updated date. Your continued use after the effective date means you accept the changes. Where law requires affirmative consent, we will seek it.

Termination

You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without notice, if we believe continued access creates risk, violates these Terms, or is no longer commercially or operationally feasible. Termination does not limit any rights or remedies that accrued before termination.

Notices

We may provide notices by posting on the Service, sending email, displaying in-product messages, or using other contact information we have. You may send legal notices to the contact address published on the Service.

Assignment and force majeure

You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law. We are not liable for delay or failure caused by events beyond our reasonable control, including outages, labor disputes, supply failures, internet failures, natural disasters, war, terrorism, civil unrest, government action, or third-party service failures.

Severability, survival, and entire agreement

If any provision is unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable. Terms that by their nature should survive will survive, including ownership, licenses, payment obligations, disclaimers, limitations of liability, indemnification, dispute resolution, and confidentiality. These Terms, together with the Privacy Policy and any applicable order or supplemental terms, are the entire agreement regarding the Service and supersede prior or contemporaneous agreements on that subject.
